1. Acceptance of Terms

By creating an account, accessing, or using AI Media Agency OS (“the Service”), operated by Tech Savvy Corp (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. You must be at least 18 years old to use the Service.

2. Description of Service

AI Media Agency OS is an AI-powered social media management platform that enables users to create, schedule, and publish content across multiple social media platforms, including but not limited to Instagram, Facebook, TikTok, X (Twitter), LinkedIn, YouTube, and Threads. The Service acts as an authorized intermediary, posting content to third-party platforms on behalf of the user through official API integrations.

3. Account Terms

• You must provide accurate and complete registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. User Content & Intellectual Property

Your Content. You retain full ownership of all content you create, upload, or publish through the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free license to process, store, transmit, and display your content solely for the purpose of delivering the Service.

AI-Generated Content. Content generated by our AI tools is provided for your use. You are solely responsible for reviewing, editing, and approving all AI-generated content before it is published. We do not guarantee the accuracy, appropriateness, or compliance of AI-generated content with any third-party platform policies.

Our IP. The Service, including its design, code, branding, AI models, and documentation, is our proprietary property and is protected by intellectual property laws.

5. Acceptable Use

You agree not to use the Service to:

• Publish illegal, defamatory, harassing, or hateful content.
• Distribute spam, malware, or misleading information.
• Violate the terms of service of any connected social media platform.
• Circumvent security measures, rate limits, or access controls.
• Scrape, reverse-engineer, or attempt to extract source code from the Service.
• Impersonate any person or entity.

6. Third-Party Platform Dependencies

The Service depends on APIs provided by third-party social media platforms (Meta, TikTok, Google, LinkedIn, X Corp, and others). These platforms may change, restrict, or discontinue their APIs at any time without notice. We are not responsible for:

• Third-party platform outages, API changes, or service disruptions.
• Content removal, account suspensions, or moderation actions by third-party platforms.
• Changes to third-party platform policies that affect Service functionality.
• Inaccuracies in analytics data provided by third-party APIs.

You are independently responsible for complying with the terms of service of each social media platform you connect to the Service.

7. OAuth & API Connections

When you connect a social media account, you authorize us to access your account via OAuth with the permissions (scopes) you grant. We do not store your social media passwords. OAuth tokens are stored securely using encryption. You may revoke access at any time through the Service or directly on the social media platform.

8. Subscription & Billing

Certain features of the Service may require a paid subscription. Pricing, billing cycles, and payment terms will be presented at the time of purchase. Subscriptions auto-renew unless cancelled before the renewal date. We reserve the right to modify pricing with 30 days' written notice.

9. Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, followers, or reputation, arising from your use of the Service.

We are not liable for failed, delayed, or rejected content posts due to third-party API issues, rate limits, or platform outages.

Our total liability for any claim shall not exceed the greater of $100 or the fees you paid in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from: (a) content you publish through the Service; (b) your violation of any third-party platform's terms; (c) your violation of these Terms; or (d) any third-party intellectual property claims related to your content.

11. Termination

Either party may terminate these Terms at any time. We may terminate or suspend your account immediately for violations of these Terms. Upon termination, your right to use the Service ceases. You may request export of your data within 30 days of termination, after which it may be permanently deleted.

12. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, United States. Any disputes shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with applicable arbitration rules. You waive any right to participate in class action lawsuits or class-wide arbitration.
